Terms of Service

These Terms of Service ("Terms") govern any engagement between NVD Prime Tech ("we", "us", "the Company"), a Government of India MSME-registered software development studio operating from Uttar Pradesh, India, and any individual or business ("you", "the Client") requesting or purchasing our services. By contacting us, engaging our services, or using this website, you agree to these Terms.
1. Our Services
We provide custom software development services including but not limited to mobile app development, website and web application development, UI/UX design, and cloud/API integration work, delivered under a mutually agreed Statement of Work (SOW), proposal, or written agreement for each project.
2. Project Scope & Changes
Each project begins with an agreed scope, timeline, and cost estimate. Requests that fall outside the originally agreed scope ("change requests") will be discussed and quoted separately before work begins on them, to keep timelines and costs predictable for both sides.
3. Payments
Projects are typically billed under a Fixed Price, Hourly/Time & Material, or Dedicated Resource (monthly retainer) model, as agreed in writing before work begins. Payments are generally structured around milestones, and outstanding invoices are due within the period specified on the invoice unless otherwise agreed.
4. Intellectual Property & Code Ownership
Upon full and final payment for a project, all custom source code, design assets, and intellectual property created specifically for that project transfer to the Client. This does not extend to any pre-existing tools, internal libraries, or third-party software/licenses used in building the project, which remain the property of their respective owners.
5. Confidentiality & NDA
We treat all project information shared with us as confidential and are willing to sign a mutual Non-Disclosure Agreement (NDA) before any detailed project discussion, on request from the Client.
6. Warranties & Support
We stand behind the quality of our work and will fix genuine defects in delivered work at no additional cost within the warranty period specified in the project agreement. Ongoing maintenance, new features, and support beyond that period are covered under a separate maintenance arrangement.
7. Limitation of Liability
To the maximum extent permitted by law, NVD Prime Tech's total liability for any claim arising from a project is limited to the amount actually paid by the Client for that specific project. We are not liable for indirect, incidental, or consequential damages arising from the use of delivered software.
8. Third-Party Services
Our website's contact form is processed through Formspree, a third-party form-handling service. Use of this website's contact form is also subject to Formspree's own terms of service.
9. Termination
Either party may terminate an ongoing engagement with written notice as specified in the project agreement. The Client remains responsible for payment of all work completed up to the termination date.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms or a project engagement shall be subject to the exclusive jurisdiction of the competent courts of Ambedkar Nagar, Uttar Pradesh, India, where the Company is registered.
11. Changes to These Terms
We may revise these Terms from time to time. Any changes will apply to new engagements entered into after the "Last updated" date above; existing signed agreements are governed by the terms in effect at the time they were signed.
